* The SET submitted a letter notifying its approval of the Company’s delisting application on a condition that the Company must arrange for BBL, the offeror, to make a tender offer for all securities from the shareholders in accordance with the regulations of the Office of the Securities and Exchange Commission with a maximum tender offer period of 45 business days before the SET will further determine the effective date of delisting of the Company’s securities.
* BBL made a tender offer to purchase all BLS shares for delisting BLS securities from the SET. The tender offer period will cover 45 business days from January 18 to March 21, 2012.
* The Company has delisted of securities from SET on April 7, 2012.

* TRIS Rating Co., Ltd. has affirmed the company rating of Bualuang Securities PLC (BLS) at “A-” with “stable” outlook.
* Launched “Bualuang iProgramTrade”, the first automated trading service for retail customers in Thailand.
* Launched “Bualuang iPoints”: An automatically accumulate points from stock and derivatives trading with Bualuang.
* Launched “Bualuang iChannel” : Fast research streaming
* Opened Phuket branch (24th Branch)
* On November 14, 2011, the Company received the letter of intention to make a tender offer to purchase all BLS shares from BBL. BBL has strategic direction to become full-fledged universal banking operations in order to cope with the rapidly changing market conditions resulting from Thailand’s financial sector and capital market development master plans, the upcoming establishment of ASEAN Economic Community potentially leading to further financial liberalization and allowing commercial banks to conduct more comprehensive businesses, and the continued intensifying competition in various forms from both domestic and foreign financial institutions in money and capital markets. BBL intends to make a general offer to purchase all securities of BLS for delisting of the securities from the SET.
* TRIS Rating Co., Ltd. has changed the rating outlook of BLS to “positive” from “stable”, following the submission of a tender offer by BBL to purchase all the shares issued by BLS which are currently owned by other shareholders. TRIS Rating expects that BLS would have a stronger support from the BBL Group if the tender offer is successful.
* On December 19, 2011, the Company’s Extraordinary General Meeting of Shareholders No. 1/2554 resolved to approve the delisting of BLS securities from the SET.

* The Board of Directors resolved to set up a Corporate Governance Committee (formerly known as the Corporate Governance Working Committee). The Corporate Governance Committee provides support to ensure that business operations and organization-wide practices comply with and adhere to good governance principles
* TRIS Rating Co., Ltd. assigned a company rating to Bualuang Securities Plc (BLS) of “A-” with a “stable” outlook
* The Board of Directors resolved to restructure the organizational set-up with the appointment of Mr. Bannarong Pichyakorn as Managing Director of the Sales & Trading Business and Mr. Vararatana Chutimit as Managing Director of the Merchant Banking Business

The Thai Institute of Directors assessed and rated the Corporate Governance (CG) practice of BLS in 2010 as “Excellent” for the third consecutive year. The Company was one of only 70 listed firms to receive such a CG rating in the 2010 assessment.
• 2010 Annual General Shareholders Meeting (AGM) Assessment Result : Excellent
The Thai Investors Association assessed the quality of BLS’s 2010 Annual General Meeting of Shareholders (AGM) as “Excellent” for the sixth consecutive year. The total score we received was 100 (the highest possible score), which was assessed as a commendable example of holding an annual general meeting of shareholders.
